Acceptance of Terms and User Eligibility

Scope of Agreement: These Terms of Service shall apply to all transactions conducted on this website, save and except for transactions involving products listed under the "Jewelry and Clothing Accessories" category. For purchases of products within the "Jewelry and Clothing Accessories" category, a separate Terms of Service agreement, accessible at kkkk, shall govern.

  1.1 Binding Agreement:

These Terms of Service constitute a legally binding contract between you and Chic Life regarding your use of the Chic Life website (https://www.chiclifeatelier.com) and the services provided on the Site. By using the Site or Services, you agree to be bound by this Agreement. If you do not agree to these terms, please do not use the Site or Services.

1.2 Printful Partnership:

Chic Life partners with Printful, a print-on-demand service, to fulfill product orders. By using our Services, you also agree to be bound by Printful's Terms of Service, as they handle the printing and shipping of our products.

1.3 User Eligibility:

You must be at least 18 years old (or 20 years old if residing in Japan) to use our Services.

If using the Services on behalf of an organization, you must have the legal authority to bind that organization to this Agreement.
1.4 Account Responsibility:

You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account.

You must notify Chic Life immediately of any unauthorized use of your account.

1.5 Modifications to Services:

Chic Life reserves the right to modify, suspend, or discontinue the Services, Products, fees, or terms at any time, without prior notice.

1.6 Governing Law:

This Agreement is governed by the laws of Ireland. If any provision of this Agreement is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect.

    2. Modifications to the Agreement

Chic Life reserves the right to modify this Agreement, including its terms, fees, and charges for Services, at any time, at our sole discretion. Any changes will be effective immediately upon posting on the Site.

It is your responsibility to review this Agreement regularly for updates. Continued use of the Site or Services after modifications have been posted constitutes your acceptance of the modified terms. If you do not agree to any changes, you must notify Chic Life in writing, including via email, and close your account within 30 days of the notification.

Policy Updates:

You can keep track of changes to our policies by checking the "Policy Updates" section on our website.

Note for EEA and UK Users:

This modification policy does not affect orders that Printful has already confirmed for users residing in the European Economic Area or the United Kingdom.

    3    Content Ownership and Responsibility

3.1 Your Content:

Any content you post, upload, or sell using Chic Life's services is considered your content. You retain ownership of this content, and Chic Life does not claim any rights to it.

3.2 Responsibility for Content:

You are solely responsible for all content you post on or through the Services. This includes ensuring that you have all necessary rights and permissions to use the content and that it does not infringe on any third-party rights.

3.3 Chic Life's Use of Content:

Chic Life will not use your content without your express permission, except as necessary to provide the Services or as otherwise outlined in this Agreement.

3.4 License Grant to Chic Life:

By posting your content, you grant Chic Life a non-exclusive, worldwide, royalty-free, irrevocable, sublicensable, perpetual license to use, display, edit, modify, reproduce, distribute, store, and create derivative works of your content. This license allows Chic Life to provide the Services, improve the quality of the Services, and promote Chic Life, your Chic Life store, or the Services in general.

3.5 Intellectual Property Rights:

Chic Life respects intellectual property rights and expects you to do the same. You must own or have the necessary permissions to use all copyrights, trademarks, and other intellectual property in your content.

3.6 Infringing Content:

If Chic Life receives a notice of intellectual property infringement, we will promptly remove or disable access to the allegedly infringing content. We will also notify you of the removal and provide information on how to file a counter-notice if you believe the removal was in error.

3.7 Inappropriate or Misleading Content:

You agree not to post any content that is abusive, threatening, defamatory, obscene, vulgar, illegal, offensive, false, misleading, or fraudulent.

3.8 European Union Illegal Content:

Chic Life has a mechanism for reporting content suspected to be illegal under EU regulations. If you suspect any content on our site to be illegal, please report it through our designated form.

3.9 Repeat Infringement:

Chic Life may terminate the account privileges of users who repeatedly infringe on intellectual property rights.

By using our Services, you agree to comply with all applicable laws and regulations regarding copyright, trademark, and other intellectual property rights.

   4. Use Service Life Services

4.1 License to Use Services:

Chic Life grants you a limited, non-exclusive, non-transferable, and revocable license to use our Services, platforms, and integrations, subject to this Agreement and the following restrictions:

• Compliance with Laws: You agree not to use our Services for any illegal activities or in violation of any applicable laws, including sanctions or embargoes.

• No Harm to Systems: You agree not to interfere with or disrupt our Services, including through the distribution of viruses or other harmful code.

• Respect for Intellectual Property: You agree to respect Chic Life's and Printful's trademarks, service marks, and trade dress, and to use them only as expressly permitted in this Agreement.

• Unsolicited Ideas: Any unsolicited ideas or materials you submit to Chic Life are considered non-confidential and non-proprietary. You grant Chic Life a license to use and publish these ideas for any purpose without compensation.

4.2 Communication Methods:

Chic Life may communicate with you electronically, including via email, regarding legal information and other important notices.

4.3 Digital Items:

Digital items provided by Chic Life or Printful, such as mockups and templates, remain the exclusive property of the respective company. These items may only be used in connection with the advertising, promotion, and sale of Chic Life products produced by Printful. Any modifications to digital items must comply with intellectual property laws and Printful's Acceptable Content Guidelines.

4.4 California Consumer Rights Notice:

Under California Civil Code Section 1789.3, California residents are entitled to specific consumer rights information. You can contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs for assistance.

   5. Content, Services, and Limitation of Liability

5.1 Customer Interaction and Product Claims:

• You are solely responsible for communicating with your customers and handling any claims they may have regarding products purchased through Chic Life.

• Chic Life is not responsible for any claims or warranties related to products sold by you, including misrepresentations or claims for injury or damages caused by the products.

5.2 Third-Party Content and Services:

• Chic Life may contain links to third-party websites or services. We do not control or endorse these services, and you access them at your own risk.

• We are not responsible for the content, accuracy, or legality of any third-party websites or services.

5.3 Disclaimer of Warranties:

• Chic Life provides the Services on an "as is" basis, without any warranties, express or implied.

• We do not guarantee that the Services will be secure, error-free, uninterrupted, or virus-free.

• We do not guarantee that the results of using the Services will meet your expectations.

5.4 Limitation of Liability:

• To the fullest extent permitted by law, Chic Life and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to the Services or this Agreement.

• Our liability in any circumstance will not exceed the amount you paid for the Service in question.

5.5 Assumption of Risk:

You use the Services at your own risk. By using the Services, you acknowledge and agree to the limitations and disclaimers of liability in this section.

Please note: Some jurisdictions may not allow the exclusion or limitation of certain types of damages, so these limitations may not apply to you.

   6. Limited Warranty on Products

6.1 Scope:

This Limited Warranty applies only to products purchased through Chic Life and fulfilled by Printful. It covers material defects or damages present at the time of delivery.

6.2 Exclusions:

This warranty does not cover:

• Damage or defects caused by you, your customers, or third parties

• Improper handling, use, or storage

• Failure to follow product instructions

• Modifications or unauthorized repairs

• External causes (accidents, natural disasters, etc.)

• Costs related to loss of use or other expenses

• Items supplied by third parties

• Size exchanges or buyer's remorse

• Minor color or detail variations in product images

6.3 Warranty Period:

This Limited Warranty is valid for 30 days from the date of delivery to you or your customer.

6.4 Remedies:

If a product is found to be materially defective or damaged, Chic Life will, at its sole discretion, either:

• Replace the product (or the defective part) free of charge

• Refund the purchase price and shipping costs

6.5 Claiming Warranty Service:

To claim warranty service, you must submit a claim within the Warranty Period in accordance with our Return Policy.If you are a customer, please contact us directly. If you purchased the product as a gift, please have the original purchaser contact us.

6.6 Limitation of Liability:

The remedies described in this section are your sole and exclusive remedies for any breach of this Limited Warranty.Chic Life's liability will not exceed the amount paid for the product, and we will not be liable for any indirect,incidental, consequential, or punitive damages arising from the product.

6.7 Additional Rights:

This Limited Warranty gives you specific legal rights, and you may also have other rights that vary by jurisdiction. We do not limit the duration or remedies of any implied warranties or conditions to the extent prohibited by law.​

   7. Your Rights in Case of Lack of Conformity (EEA and UK Users)

If you are a User residing in the European Economic Area (EEA) or the United Kingdom (UK), you are entitled to legal guarantees under Directive 1999/44/EC on consumer sales and guarantees, or similar consumer protection regulations.This means you have the right to:

• Repair or Replacement: Receive free repair or replacement of products that do not conform to the contract within the limits provided by law.

• Price Reduction or Contract Cancellation: If repair or replacement is not possible or successful, you may request an appropriate reduction in price or cancel the contract.

• Delivery Costs: Printful will cover the delivery costs for returning and receiving repaired or replaced products under this clause.

Exceptions:

You do not have the right to cancel or return orders for:

• Products made to your specifications or clearly personalized with your designs.

• Sealed products that were unsealed after delivery and are not suitable for return due to health or hygiene reasons.

Right to Cancel (Other Products):

For other products, you have the right to cancel and return your order within 14 days of receiving the product, for any reason. You must inform Chic Life in writing before the cancellation period expires. You must return the product to the address indicated on the original package within 14 days of notifying us, and you will bear the direct cost of returning the goods.

Chic Life will issue a refund for the product and standard delivery costs within 14 days of receiving your cancellation notice, unless we have not yet received the returned product or proof of its return. The refund will be credited to your Printful Wallet or the original payment method.

Note: You may be liable for any diminished value of the product resulting from handling beyond what is necessary to establish its nature, characteristics, and functioning.

   8. Responsibility of Site Members and Visitors

8.1 Compliance with Policies:

By using Chic Life's Services, you agree to comply with this Agreement and all other applicable policies and guidelines.Failure to comply may result in the termination of your account.

8.2 Content Monitoring and Removal:

Chic Life and Printful reserve the right to pre-screen, refuse, or remove any content that violates this Agreement or is deemed inappropriate, illegal, or harmful.

8.3 User Responsibility for Content:

You are solely responsible for evaluating and bearing all risks associated with using any content on the Site, including relying on its accuracy, completeness, or usefulness. You acknowledge that you cannot rely on any content created by or submitted to Chic Life or Printful.

8.4 Account Suspension and Termination:

Chic Life reserves the right to limit, suspend, or terminate your account and access to the Site if you create problems,violate this Agreement, or act inconsistently with our policies. We may also cancel unconfirmed or inactive accounts.

8.5 Accurate Information:

You are responsible for providing Chic Life and Printful with accurate and truthful information. If you provide inaccurate or false information, you will be liable for any damages or losses incurred by Chic Life or Printful, and your access to the Services may be limited or suspended.

​​   9. Payments and Fees

9.1 Payment Methods:

To use Chic Life's Services, you must provide a valid payment method that you are authorized to use, such as a credit card or PayPal.

9.2 Billing and Fees:

• All fees for products and services will be charged to your selected payment method at the time the order is placed.

• Chic Life may change its fees from time to time, and any changes will be effective upon posting on the Site.

• You are responsible for paying all fees, payments, and applicable taxes associated with your orders.

9.3 Payment Authorization:

By placing an order, you confirm that you are legally entitled to use the provided payment method. You are liable for any unauthorized use of a payment method and will reimburse Chic Life for any resulting damages.

9.4 Chargebacks:

If you or your customer initiates a chargeback that does not comply with our or Printful's policies, you will be responsible for reimbursing Printful for any losses incurred, including fulfillment costs and chargeback fees.

9.5 Currency:

Unless otherwise stated, you can choose the currency for your transaction from the options available on the Site.

9.6 Discounts and Promotions:

Chic Life may offer discounts and promotions at its sole discretion. These offers can be changed, suspended, or discontinued at any time.

   10. Taxes

You are responsible for paying all applicable taxes to your local taxing authority, including sales taxes, VAT, GST, and any other relevant duties associated with your purchase.

In certain jurisdictions, Printful may collect and remit applicable taxes on your behalf. However, in most cases, you are responsible for understanding and complying with your local tax laws.

If you are eligible for a tax exemption, please provide a valid exemption certificate, such as a Resale Certificate, VAT ID,or ABN, to Printful.

   11. Shipping

11.1 Order Modification and Cancellation:

Once you have confirmed your order, it may not be possible to edit or cancel it. Please review your order carefully before confirming. If you need to make changes, please contact Chic Life as soon as possible, and we will do our best to accommodate your request on a case-by-case basis.

11.2 Risk of Loss and Title Transfer:

• For Users outside the EEA and UK: The risk of loss, damage, and title for Products passes to you upon delivery of the Product to the carrier. You or your customer (if you are a Merchant) are responsible for filing any claims for lost shipments with the carrier.

• For Users in the EEA and UK: The risk of loss, damage, and title for Products passes to you upon physical possession of the Products by you or a designated third party.

• For Merchants Shipping to Germany: The risk of loss and damage to Products passes to you when the shipment crosses the German border. Printful is liable for any loss or damage occurring before this point.

11.3 Lost Shipments:

If carrier tracking indicates that a Product was lost in transit, you or your customer may submit a claim for replacement or credit within 30 days of the estimated delivery date, in accordance with Printful's Return Policy. Claims will be subject to investigation and approval by Printful.

11.4 P.O. Box Deliveries:

Please note that Printful cannot guarantee delivery to P.O. boxes.

   12. Product Descriptions and Availability

12.1 Product Representation:

Chic Life makes every effort to accurately represent products through images and descriptions on our website. However,we cannot guarantee that colors and details in images will be 100% accurate or that products will not be damaged during manufacturing.

12.2 Product Changes:

We are committed to continuous product development and may modify product specifications, pricing, packaging, or associated services without prior notice. Please review product descriptions carefully before ordering.

12.3 Damaged Products:

In the event that products are damaged during manufacturing and cannot be sold, Chic Life reserves the right to donate them to charity. You waive any right to collect royalties or fees for such donated products.

12.4 Product Alternatives:

If a product you ordered becomes unavailable and you have not opted out of product alternatives in your store settings,Chic Life may substitute the product with the most appropriate alternative to avoid fulfillment delays. If the alternative costs more, you will not be charged extra. If it costs less, you will be refunded the difference. You can opt out of product alternatives in your store settings.

12.5 Merchant Responsibility:

If you are a merchant using Chic Life's services, you are solely responsible for informing your customers about any product substitutions.

   13. Purchase and Order Processing

13.1 Order Placement:

Orders are placed and received exclusively through the Chic Life website. It is your responsibility to ensure that all order details, including recipient name, delivery address, phone number, and email address, are accurate and complete. Chic Life is not responsible for delivery issues caused by incorrect or incomplete information.

13.2 Order Acceptance:

Chic Life reserves the right to accept or decline orders at our sole discretion. Your order is considered a purchase only after we have received full payment and accepted your order.

13.3 Order Changes and Cancellations:

Once an order is confirmed, it may not be possible to edit or cancel it. Please review your order details carefully before confirming. If you need to make changes, contact Chic Life as soon as possible, and we will do our best to accommodate your request.

13.4 Order Holds and Cancellations:

Chic Life may place an order on hold due to print file issues, security concerns, address verification, or other reasons. You will have 30 days to resolve the issue. If the issue is not resolved or the order is not canceled within 30 days, Chic Life will cancel the order. Refunds will only be issued if work on the order has not yet begun.

    14. Delivery

14.1 Estimated Delivery Times:

Chic Life ships to most locations worldwide. While we provide estimated delivery times, these are not guaranteed.Factors such as product availability, shipping destination, and unforeseen circumstances may affect actual delivery times.

14.2 Shipping Costs:

Shipping costs are calculated based on your order and delivery address and are added to your total at checkout. These costs are separate from the product price and may vary depending on the delivery location and type of products ordered.Additional charges may apply for remote or difficult-to-access locations.

14.3 Separate Shipments:

Some orders may be shipped in multiple packages. We will do our best to notify you of any changes to the estimated delivery time.

14.4 Ownership Transfer:

Ownership of the products passes to you or your customer (if you are a merchant) upon our delivery to the carrier, after we have received full payment, including shipping costs and applicable taxes.

14.5 No Delivery Guarantees:

Chic Life cannot guarantee specific delivery dates. We will do our best to inform you of any known delays, but we are not responsible for delays beyond our control.

14.6 No Guarantees for Collaborations:

We do not make any guarantees regarding collaborations with you, including the development of new products or integration with other platforms.

    15. Release and Indemnification

To the fullest extent permitted by law, you release Chic Life and Printful, along with their respective affiliates, officers,directors, employees, and agents (collectively, the "Released Parties"), from any and all claims, demands, damages,losses, liabilities, judgments, costs, attorneys' fees, and other expenses arising from or relating to:

• Any matter for which Chic Life or Printful has disclaimed responsibility or liability under this Agreement.

• Any matter for which Chic Life or Printful has been indemnified or released by you under this Agreement.

• Any dispute arising between you and a third party, including but not limited to your customers.

This release does not apply to any claims arising from the Released Parties' gross negligence or willful misconduct.

    16. Indemnification

You agree to defend, indemnify, and hold harmless Chic Life, Printful, and their respective affiliates, officers, directors,employees, and agents (collectively, the "Indemnified Parties") from and against any and all claims, demands, damages,losses, liabilities, judgments, costs, attorneys' fees, and other expenses arising out of or in connection with:

• Your breach of this Agreement

• Your use or misuse of the Services

• Your Content

• Your violation of any third-party intellectual property or other rights

• Your violation of any law or regulation

• Any claims related to products sold by you through Chic Life, including claims for misrepresentation, product liability, or personal injury.

Chic Life and Printful reserve the right to control the defense of any claim subject to indemnification, in which case you agree to cooperate fully with the Indemnified Parties in asserting any available defenses.

    17. Governing Law and Dispute Resolution

17.1 Governing Law:

This Agreement and any disputes or claims arising from or in connection with it will be governed by the laws of the Republic of Ireland, without regard to its conflict of laws principles.

17.2 Jurisdiction:

Any disputes arising under this Agreement will be subject to the exclusive jurisdiction of the courts of Ireland.

17.3 Alternative Dispute Resolution:

If you are a consumer residing in the European Union (EU), you have the right to seek alternative dispute resolution through the online platform provided by the European Commission. You can access this platform at https://ec.europa.eu/consumers/odr/main/index.cfm?event=main.home2.show&lng=EN.

Please note that this section has been adapted to reflect the fact that you are based in Ireland and subject to Irish law. The reference to North Carolina law has been replaced with Irish law, and the jurisdiction for dispute resolution is now Ireland.

    18. Dispute Resolution and Arbitration

18.1 Agreement to Arbitrate:

Any dispute or claim arising out of or relating to this Agreement, including non-contractual disputes, shall be resolved through final and binding arbitration, except for claims under the Limited Warranty (Section 6) or claims brought by EEA, Swiss, or UK Users against Printful in their respective jurisdictions.

18.2 Arbitration Rules and Procedure:

The arbitration will be administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, using the English language. The arbitration will be conducted by a sole arbitrator selected in accordance with the Commercial Rules.

18.3 Arbitration Location:

Unless otherwise agreed upon, arbitration hearings for Users will take place in the county of the User's residence.

18.4 Waiver of Jury Trial and Class Actions:

By agreeing to this Agreement, you and Chic Life knowingly, voluntarily, and irrevocably waive all rights to a trial by jury or to participate in a class action, class arbitration, or other joint dispute resolution for any dispute arising under this Agreement.

18.5 Small Claims Court:

Notwithstanding the above, you may bring an individual claim in small claims court if it qualifies and remains on an individual, non-representative, and non-class basis.

18.6 Equitable Relief:

Both parties retain the right to seek injunctive or other equitable relief in a court of competent jurisdiction pending a final decision by the arbitrator.

18.7 Costs and Fees:

You and Chic Life will each bear 50% of the AAA and arbitrator fees, except as otherwise provided by the Commercial Rules. The arbitrator may award additional fees and expenses to the prevailing party.

   19. Privacy and Personal Data Processing

Chic Life is committed to protecting your privacy and personal data. Our Privacy Policy details how we collect, use, and share your personal information when you use our Site and Services. By accepting this Agreement, you also acknowledge and agree to our Privacy Policy.

If you are a Merchant using Chic Life's Services and provide us with your customers' personal data, our Data Processing Terms, which are incorporated into this Agreement, will also apply. You can review our Privacy Policy and Data Processing Terms on our website.

    20. General Provisions

20.1 Relationship of the Parties:

This Agreement does not create any agency, partnership, joint venture, employment, or franchise relationship between you and Chic Life or Printful.

20.2 Force Majeure:

Neither Chic Life nor Printful shall be liable for any delay or failure in performance under this Agreement resulting from events or circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, war, terrorism, labor disputes, or infrastructure failures.

20.3 Customer Data:

You represent that you have all necessary permissions to provide us with your customers' personal data for the purpose of fulfilling this Agreement.

20.4 Account Access:

Printful may access customer accounts for the purpose of providing customer support and ensuring a high quality of service, in accordance with Printful's Privacy Policy.

20.5 Severability:

If any provision of this Agreement is held to be invalid or unenforceable, that provision will be removed, and the remaining provisions will remain in full force and effect.

20.6 Assignment:

Chic Life may assign this Agreement upon notice to you. Printful may transfer or assign this Agreement or any rights or obligations under this Agreement at any time, including engaging third-party manufacturing services. If you are a User in the EEA or the UK and such transfer may affect your rights under this Agreement, Printful will seek your consent beforehand.

20.7 Waiver:

Chic Life's failure to enforce any provision of this Agreement does not constitute a waiver of our right to enforce that provision or any other provision in the future.
